The structure of Nadella’s pay package also mirrors the company’s priorities. His 2025 package was worth more than $84 million in stock awards, $2.5 million base salary and $9.5 million in cash bonuses. More than 95% of his target annual compensation is performance-based, and at least 70% of that is equity-based.
The package indicates that Microsoft’s board thinks artificial intelligence (AI) and cloud growth will remain central to the company’s performance, with Nadella’s compensation linked to metrics that include shareholder returns, revenue and cloud growth.

Microsoft’s revenue increased roughly 15% in fiscal 2025, and operating income was up 17%.
Cloud revenue rose 23% to just under $169 billion while Azure revenue increased 34% to more than $75 billion.
The company’s proxy statement links Nadella’s compensation to the broader business performance. His performance stock awards include long-term measures such as total shareholder return compared with the S&P 500, Microsoft incentive plan revenue, Azure and other cloud services revenue, and Microsoft Cloud revenue.
Nadella’s base salary is only a small part of the total package. Most of it comes in the form of equity awards, which rise and fall with Microsoft’s stock price, so much of his compensation is linked to the company’s future performance.
Microsoft board ties Nadella’s pay to long-term performance
Microsoft has also structured Nadella’s compensation around longer performance periods rather than relying on time-based stock grants. The company uses overlapping performance periods, total shareholder return modifiers and multiyear vesting for his equity awards.
That means a significant portion of Nadella’s pay is tied to Microsoft’s performance over several years. It also ties his financial results to the same elements of the business central to Microsoft’s growth strategy, such as cloud services, Azure, AI performance, and shareholder returns.
Nadella’s pay also far outpaced the median employee pay at Microsoft, as the CEO-to-median-employee pay ratio hit almost 480-to-1 in 2025. So the size of the package has attracted attention, but the structure of the package is also important for understanding how the board has linked executive pay to company performance.
