We're adding to a consumer staples stock in advance of a big catalyst
Key Points
We're buying 85 shares of Kimberly-Clark at roughly $97 each. Following Tuesday's trade, Jim Cramer's Charitable Trust will own 600 shares of KMB, increasing its weighting in the portfolio to about 1.5% from 1.25%. We are adding to our Kimberly-Clark position as the company moves closer to finalizing its acquisition of Kenvue , as Jim explained during Tuesday's Morning Meeting.

We are adding to our Kimberly-Clark position as the company moves closer to finalizing its acquisition of Kenvue , as Jim explained during Tuesday's Morning Meeting. The deal brings together the consumer products brands of Kimberly-Clark, such as Huggies, Kleenex, and Scott, with Kenvue's leading consumer health names like Band-Aid, Tylenol, and Neutrogena. Kimberly-Clark reached an important milestone in the path toward completion of the transaction — receiving approval from the European Commission on the condition that Kimberly-Clark divests its tampon and other feminine hygiene brands in the region. That, plus Kimberly's announcement that it received Kenvue bondholder consent to change note terms, keeps the deal on track for a close in this quarter. We are bullish on the combination because of the potential for cost savings, incremental revenue synergies, and increased scale, with Kimberly-Clark becoming the second-largest consumer health and wellness company by revenue. In the short term, we want to send a reminder that Kimberly-Clark management did give a disappointing third-quarter update on business at the Barclays Global Consumer Staples Conference last month, lowering sales and earnings expectations due to headwinds from a delayed innovation launch, inventory de-stocking in its "professional" channel, ongoing China headwinds, and impact from rising freight and logistics costs. We would not be surprised to see Kimberly also lower its full-year outlook due to the Q3 headwinds. However, this should be priced into the stock and widely anticipated, like it was for PepsiCo when it rallied last week after earnings despite lowering guidance.
